START AND END DATES: This Sweepstakes starts at 12:01 a.m. Eastern Time ("ET") on March 4, 2008 and ends at 11:59 p.m. ET on May 11, 2008 ("Promotional Time Period" ) and consists of ten (10) separate Prize Periods as set forth in the table below. At the end of each Prize Period, we will conduct one (1) Overall Prize Period Drawing, and up to seven (7) separate Daily Drawings. Entries will be eligible for all drawings within the Prize Period that they are received, and will also carry over into all subsequent drawings throughout the Promotional Time Period.

HOW TO ENTER: To enter, entrants must visit www.officelive.com/workspace and successfully register for a Microsoft Office Live Workspace ("Office Live Workspace") to automatically receive one (1) entry into the Microsoft® Office Live Workspace beta Sweepstakes (“Sweepstakes”). In order to successfully register for an Office Live Workspace, entrants must have a valid Windows Live ID (includes MSN Hotmail Account, MSN Messenger and Microsoft Passport Account or use any existing e-mail address from any e-mail provider when you create your credentials for Windows Live ID). Entrants and prize winners will be notified using their Windows Live ID account information (i.e., country / region, e-mail address, first and last name), and are solely responsible for keeping such account information up-to-date. If an entrant’s Windows Live ID account information is not complete, correct, or current, (i.e., country / region, e-mail address, first and last name are missing, incorrect or not current), such entrant will be automatically disqualified and ineligible to participate in this Sweepstakes. BONUS ENTRY OPPORTUNITIES: You can earn up to two (2) bonus entries as follows:

Upload a Document- One (1) bonus entry may be obtained by entrant uploading his/her first document to his/her Office Live Workspace (includes creating and saving a list, creating and saving a note, or creating an Office Live Workspace template).
Share a Document - One (1) bonus entry may be obtained by entrant who shares a document or shares an Office Live Workspace for the first time using the Office Live Workspace service.

IMPORTANT: To receive a bonus entry, your document must remain posted in your Office Live Workspace through the end of the current Prize Period. For example, if you post your document on March 6, and the current Prize Period ends at 11:59 p.m. ET on March 9, 2008, your document must remain posted until at least 11:59 p.m. ET on March 9, 2008.

If, prior to the Promotion Period, specifically between October 1, 2007, and 11:59 p.m. ET on March 3, 2008, you successfully registered for an Office Live Workspace with a valid Windows Live ID, and successfully completed an action required to earn a bonus entry, you will receive a bonus entry as provided for above.

Limit one (1) bonus entry per bonus entry method for up to two (2) bonus entries per person total.

SWEEPSTAKES OPT-OUT: To opt-out of the Sweepstakes at any time during the Promotional Time Period, visit www.officeliveworkspacesweepstakes.com/optout, enter the Windows Live ID that you used to register for Office Live Workspace and hit “submit.” Entrant will be removed from Sweepstakes at the time their opt-out was successfully submitted. Entrant will receive an e-mail notification confirming that their opt-out request was received.

ELIGIBILITY: Sweepstakes is open only to legal residents of the 50 United States (including the District of Columbia) who are 18 years of age or older at time of entry. This Sweepstakes is for viewing in the United States only. If you are not a legal resident of the United States residing in the United States at time of entry, do not enter the Sweepstakes. Void where prohibited by law. DAILY PRIZES: After the close of each Prize Period, we will conduct up to seven (7) separate Daily Drawings; one for each day during the Prize Period. If you earned any entries prior to the Promotional Period, specifically between October 1, 2007, and 11:59 p.m. ET on March 3, 2008, then your entries will be included all Daily Drawings during the first Prize Period. Three-hundred and twenty-six (326) Daily Prize Winners will be selected from among all eligible entries included in each Daily Drawing, and entries will be included in all Daily Drawings within the Prize Period that they are received. Further, entries will carry over into all subsequent Daily Drawings (sixty-nine (69) total) during the Promotional Time Period. Daily Drawings will be conducted in accordance with the Official Rules by GMR, an independent judging organization whose decisions on all matters related to the Sweepstakes are binding and final. Limit fourteen (14) Daily Prizes per person. Daily Prize winners are eligible to win one (1) Overall Prize Period Prize and the Grand Prize.

OVERALL PRIZE PERIOD PRIZES: After the close of each Prize Period, we will conduct one (1) Overall Prize Period Drawing. If you earned any entries prior to the Promotional Time Period, specifically between October 1, 2007, and 11:59 p.m. ET on March 3, 2008, then your entries will be included in this first Overall Prize Period Drawing. Overall Prize Period Prize Winners will be selected from among all eligible entries received during the Prize Period. Further, entries will carry over into all subsequent Overall Prize Period Drawings (ten (10) total) during the Promotional Time Period. All Overall Prize Period Drawings will be conducted in accordance with the Official Rules by GMR, an independent judging organization whose decisions on all matters related to the Sweepstakes are binding and final. Two Hundred (200) Prize Period 5 Prizes: One (1) Microsoft® 30GB Zune® digital media player (A.R.V. $199 each).

Four Hundred (400) Prize Period 6 Prizes: One (1) Expedia® Hotel and Package Coupon and one (1) $50 Gift Card intended for use for hotel taxes, fees, charges and surcharges. ($50 Gift Card to be determined at the sole discretion of the Sponsor. Winner to solely determine the manner in which the $50 will be used).The prize is a single-use coupon valid for a discount of $300 off a new booking on Expedia of either: one (1) booking at an Expedia® Special Rate hotel OR one (1) airfare plus hotel package booking. The value of the booking must be at least $300. If it is less than $300, the difference between the coupon value and the cost of the booking will be forfeited and will not be refunded or available for future use. Prize must be redeemed before June 30, 2009. Trip must occur prior to December 31, 2009. Winner must redeem prize during one (1) transaction at Expedia. Three Hundred (300) Prize Period 10 Prizes: One (1) Microsoft® Xbox® 360 Elite Console (A.R.V. $449 each).

GRAND PRIZE

ONE (1) GRAND PRIZE (to be awarded from among all eligible entries received during the Promotional Time Period): $100,000 Cash Prize. Grand Prize will be awarded in the form of a corporate check payable to the confirmed Grand Prize winner (parent or legal guardian if winner is under the age of majority in his/her state of residence) (Value $100,000). The Grand Prize winner will also receive a single cash payment of $51,515 in the form of a corporate check to help winner defray any federal or state tax obligations related to the Grand Prize; provided, however, that winner is solely responsible for all federal, state, and local income taxes and other taxes associated with receipt of the prize and cash payment. (Total A.R.V. $151,515.)

The total ARV of all prizes to be awarded during the Promotional Time Period is $1,589,144.

Dollar amounts are expressed in U.S. currency. Taxes on a prize are the sole responsibility of the winner. Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s and/or service providers terms and conditions, and winners agree to look solely to such manufacturers and/or service providers for any warranty or guarantee claim. Prizes are non-transferable and no substitution or cash equivalent is allowed except in Sponsor’s sole discretion. Sponsor reserves the right to substitute prizes of the same approximate retail value. Prize consists only of items specifically listed as part of the prize. All costs and expenses not specified herein, related to any prize, including but not limited to delivery, installation, service activation fees and other expenses incurred by accepting the prize are the sole responsibility of the Winner. Failure to claim prize in the time specified by the Sponsor will result in the prize being forfeited and an alternate winner selected. ONLINE REGISTRATION: If for any reason the Sweepstakes, including the online portion, is not capable of running as planned, including disruptions caused by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other cause that corrupts, affects or compromises the administration, security, fairness, integrity, proper conduct or intended play of the Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any individual Sponsor or GMR deems responsible and Sponsor further reserves the right to cancel, terminate, modify or suspend the Sweepstakes, with appropriate alternate method of prize award selected. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications failure, theft, destruction or unauthorized access to, or alteration of, entries, including any erroneous appearance of qualification for a prize. RELEASE OF LIABILITY: By entering, entrant agrees to accept and abide by the rules of this Sweepstakes and agrees that any dispute with regard to the conduct of this Sweepstakes, rule interpretation or award of prize, shall be resolved by GMR, whose decision shall be binding and final. By participating, entrant agrees to release and hold harmless Microsoft, GMR, promotional partners and each of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents and representatives of any of the above organizations from any injury, loss or damage to person, including death or property damage due in-whole or in-part, directly or indirectly to the acceptance, use, or misuse of a prize, participation in any Sweepstakes-related activity, or participation in the Sweepstakes. Sponsor is not responsible for any typographical or other error in the printing of this offer, administration of the Sweepstakes or in the announcement of prizes, including such error as may give an erroneous indication that a prize has been won. In the event the Sponsor is prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each a “Force Majeure” event), the Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes without notice or further obligation. If the Sponsor, in its discretion, elects to abbreviate the Sweepstakes as a result of a Force Majeure event, the Sponsor reserves the right, but shall have no obligation, to award the prize from among all valid and eligible entries received up to the time of such Force Majeure event. All entries are the property of the Sponsor and are not returnable.
